“We”, “us”, “our” mean MB Variantai. “You”, “Client” means the business or person engaging our services.
2. Definitions
- Mockup — a non-final design preview we prepare to show what your site could look like.
- Deliverables — the website, code, content, automations or other materials we agree to produce.
- Quote — our written price and scope for a specific project.
3. Services
We provide, among others: new website design and development; website redesigns and remodelling; website audits and fixes; SEO and GEO optimisation; performance/speed optimisation; and custom AI automation solutions. The exact scope for your project is set out in your Quote.
4. Free mockups & quotes
Mockups are always free. We may prepare a mockup for you at no cost and with no obligation. You only pay if you decide to proceed — “if you like it, you purchase it.” A mockup is illustrative; the final Deliverable is produced after you accept a Quote. Indicative starting prices:
- Informative websites — from €300 + VAT.
- Online shops — from €1,000 + VAT.
- AI automation solutions — from €500 + VAT.
Final pricing depends on scope and complexity and is agreed in writing in your Quote before work begins.
5. Orders & acceptance
A contract is formed when you accept a Quote in writing (including by email) or pay an agreed deposit. We may decline any project at our discretion. Quotes are valid for 30 days unless stated otherwise.
6. Pricing, VAT & payment
- Prices are in euros (EUR) and exclusive of VAT unless stated. VAT is added where applicable.
- Unless agreed otherwise, we may invoice a deposit before starting and the balance on completion (before go-live).
- Invoices are payable within 14 days of the invoice date by bank transfer to the account stated on the invoice.
- Optional monthly plans (where offered) are billed in advance and may be cancelled at the end of the billing period.
- Late payment may incur statutory interest and may pause work or delay go-live.
7. Client responsibilities
- Provide accurate information, timely feedback, and any content (text, images, logos) you want included.
- Ensure you own or are licensed to use all materials you supply, and that they do not infringe third-party rights or applicable law.
- You are responsible for the lawfulness of your own business, products and the content you ask us to publish.
8. Intellectual property
- Until a Deliverable is paid for in full, all rights in it (including mockups and drafts) remain ours.
- On full payment, we assign to you the rights in the final, bespoke Deliverables created for you, except for: (a) third-party components, fonts, libraries, stock assets and plugins, which remain under their own licences; and (b) our pre-existing tools, frameworks and know-how, for which you receive a non-exclusive licence to the extent needed to use your Deliverable.
- We may showcase the work in our portfolio and case studies unless you ask us in writing not to.
- Where you agree to display a small “Website by SOSWebs” footer credit, you may receive an agreed discount; removing the credit later may end that discount.
9. Hosting & domains
Hosting and domain registration may be arranged as part of a project. Domains are registered in your name or on your behalf and remain yours. Third-party hosting, domain and service fees are passed through or billed as agreed. We register brand/company domains only after you instruct us to do so.
10. Revisions
Each Quote states the rounds of revisions included. Reasonable changes within the agreed scope are included; changes that materially expand scope may be quoted separately as additional work.
11. Warranties & disclaimers
We provide our services with reasonable skill and care. Except as expressly stated, services are provided “as is”. We do not warrant uninterrupted or error-free operation, nor any specific search-engine ranking, traffic, conversion or business result, as these depend on factors outside our control. We will correct defects in our work reported within 14 days of go-live at no charge.
12. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, loss of profit, data or goodwill, and our total liability for any claim arising from a project is limited to the fees you paid us for that project. You remain responsible for keeping your own backups of content you provide.
13. Term & termination
Either party may terminate a project for material breach not remedied within 14 days of written notice. On termination you pay for work performed up to that date. Sections that by nature should survive (IP, payment, liability, governing law) continue after termination.
14. Cancellation / consumer withdrawal
Our services are aimed at businesses. If you engage us as a consumer, you may have a 14-day right of withdrawal under EU and Lithuanian law. Because our work is bespoke and made to your specification, by asking us to begin within the withdrawal period you acknowledge that, once the work is fully performed, the right of withdrawal is lost; if you withdraw after work has begun, you pay for the work already done.
15. Data protection
We process personal data as described in our Privacy Policy. Where we process personal data on your behalf as part of a project, the parties will agree appropriate data-processing terms.
16. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control. Affected timelines are extended accordingly.
17. Governing law & jurisdiction
These terms are governed by the law of the Republic of Lithuania. Disputes are subject to the jurisdiction of the competent courts of the Republic of Lithuania, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
18. Changes & contact
We may update these terms; the version in force for your project is the one current when your Quote is accepted. Questions? Email info@soswebs.com.
